# Inference Services Customer Terms

By clicking “I agree,” creating an account, generating an API key, or accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services. These Terms include the disclaimer of warranties, limitation of liability, and arbitration provisions incorporated from the Website Terms (Section 7), which affect your legal rights.

## 1. These Terms; definitions

### 1.1 Incorporation of the Website Terms

These Customer Terms (these “Terms”) are a binding agreement between Boundless Networks, Inc. (“Boundless,” “we,” or “us”) and the individual or entity accepting them (“Customer” or “you”) for access to and use of Boundless's inference-as-a-service offerings (the “Services”). The Boundless Networks Website Terms available at [boundless.network/terms-of-service](https://boundless.network/terms-of-service) (the “Website Terms”) are incorporated into these Terms by reference and apply to Customer's access to and use of the Services, including the Website Terms' provisions on eligibility, sanctions and export controls, no offer and token/protocol disclaimer, no custody, no fiduciary duties, intellectual property, open-source software, release of claims, force majeure, no warranties, indemnity, limitation of liability, dispute resolution and arbitration, governing law, assignment, notices, severability, no waiver, and survival. In the event of a conflict between these Terms and the Website Terms, these Terms control with respect to the Services; the Website Terms continue to govern access to and use of the website generally. Capitalized terms used but not defined here have the meanings given in the Website Terms.

### 1.2 Definitions

In addition to the definitions in the Website Terms:

- **“Customer Data”** means all inputs, data, content, and other materials submitted to or generated through the Services by or on behalf of Customer or its Permitted Users, including Inputs and Outputs.
- **“Dashboard”** means Boundless's web-based management console through which Customer manages its account, API keys, credentials, Permitted Users, and usage and balance information.
- **“Inputs”** means content Customer or its Permitted Users submit to the Inference Services.
- **“Inference Services”** means Boundless's artificial intelligence inference services through which Customer submits Inputs to, and receives Outputs from, the Models.
- **“Model Terms”** means the model licenses, acceptable-use policies, and usage restrictions of third-party and open-weight model providers that Boundless makes available or passes through for the Models.
- **“Models”** means the artificial intelligence models made available through the Inference Services, including third-party and open-weight models.
- **“Outputs”** means content the Models generate in response to Inputs.
- **“Permitted Users”** means Customer's employees, agents, and contractors that Customer authorizes to access the Services on its behalf through Customer's account.
- **“Prohibited Content”** means (a) payment card data and financial account credentials; (b) protected health information; (c) government identifiers such as social security or driver's license numbers; (d) sensitive personal data or special-category data under applicable law; (e) personal data of individuals; (f) information regulated under the Gramm-Leach-Bliley Act, COPPA, or similar laws; and (g) content that infringes or misappropriates a third party's intellectual property rights.
- **“Services”** means Boundless's Inference Services and Token API, together with the Dashboard, as described in Section 2.
- **“Token API”** means the APIs, endpoints, and associated SDKs Boundless makes available for programmatic, usage-metered (per-token) access to the Inference Services.

## 2. The Services

### 2.1 Access grant

Subject to these Terms and Customer's payment of applicable fees, Boundless grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for Customer's internal business purposes and in accordance with these Terms and any documentation Boundless makes available (the “Documentation”). Boundless reserves all rights not expressly granted. The Services are intended for business and enterprise use, not personal, family, household, or other consumer purposes.

### 2.2 Accounts; API keys; Permitted Users

Customer is responsible for (a) all activity occurring under its account, API keys, and credentials, whether or not authorized; (b) maintaining the confidentiality and security of its credentials; and (c) its Permitted Users' compliance with these Terms. Customer must provide accurate account information and promptly notify Boundless of any suspected compromise or unauthorized use. Boundless is not liable for any loss arising from unauthorized use of Customer's account or credentials. Boundless may require manual approval before activating an account or issuing credits and may decline any registration request.

### 2.3 Additional acceptable-use restrictions

Without limiting the Prohibited Uses in the Website Terms, Customer shall not, and shall not permit any third party to: (a) access or use the Services to build or train a competing product, model, or service, or to copy the Services' features, except to the extent prohibited by applicable law or the applicable Model Terms; (b) submit Prohibited Content; (c) circumvent or exceed rate limits, quotas, or usage restrictions; (d) publicly disclose benchmarking or performance testing of the Services unless the disclosure identifies the methodology used, is accurate, and is reproducible on the then-current version of the Services; (e) access or use the Services in or for the benefit of any Sanctioned Person or Restricted Territory; or (f) because the Services are provided on infrastructure Boundless does not own and Boundless does not inspect request content, submit through the Services any content relating to intoxicants of any sort, illegal drugs or other illegal products, alcoholic beverages, games of chance, or pornography or graphic adult content.

### 2.4 Suspension

Boundless may suspend or limit Customer's access to all or part of the Services, immediately and without liability, if Boundless reasonably determines that (a) Customer's use poses a security, legal, or operational risk to Boundless, its suppliers, or others, or violates these Terms or applicable law; or (b) suspension is required by a supplier, court, or governmental authority. For overdue payment or any other breach, Boundless will provide notice and a reasonable opportunity to cure before suspending, except where Boundless reasonably determines that immediate suspension is necessary to prevent harm. Boundless will restore access promptly once the issue is resolved.

### 2.5 Changes to the Services; Beta Features

Boundless may modify or discontinue any Model, API surface, feature, or functionality at any time, and has no obligation to maintain backward compatibility. For generally available (non-Beta) offerings, Boundless will use commercially reasonable efforts to provide advance notice before a material degradation or discontinuance. Features designated “alpha,” “beta,” or “preview” (collectively, “Beta Features”) may be changed or discontinued without notice, are provided strictly “as is,” and are excluded from any support, service levels, warranties, or indemnities; Boundless's total liability arising out of Beta Features will not exceed US$100 in the aggregate.

### 2.6 No service levels

The Services are provided without any service-level, uptime, or availability commitment. Boundless does not warrant that the Services will be uninterrupted or available at all times, including because capacity may be scaled down during periods of low demand, during weekends, or when idle. Support, if any, is provided on an “as available” basis.

### 2.7 Third-party Models and infrastructure

Customer acknowledges that (a) certain Models are developed, owned, or licensed by third parties, including open-weight models, and Customer's use of them is subject to the applicable Model Terms, which Customer shall comply with; and (b) the Services are provided using computing infrastructure owned and operated by third parties, and Boundless's ability to provide the Services is dependent on, and limited by, the availability, terms, and practices of those providers. Boundless is not responsible for, and disclaims all liability arising from, any third-party model, infrastructure, product, or service.

## 3. Inference Services; data

### 3.1 Inputs and Outputs

The Inference Services allow Customer to submit Inputs to, and receive Outputs from, the Models through the Token API or other interfaces Boundless authorizes. Outputs are generated by probabilistic Models, may be inaccurate, incomplete, or unsuitable for a particular purpose, and may not be unique to Customer. Customer is responsible for evaluating Outputs and will not rely on Outputs as the sole basis for any decision producing legal or similarly significant effects on an individual without appropriate human review.

### 3.2 Data retention

Boundless does not retain, store, or log the content of Customer's Inputs or Outputs except as necessary to provide, secure, and maintain the Services. Boundless may collect and use de-identified, aggregated usage data and telemetry that does not identify Customer or any individual for any lawful business purpose.

### 3.3 Infrastructure-provider access

Because the Services are provided on third-party infrastructure, Boundless cannot represent or warrant that Customer's Inputs or Outputs are inaccessible to those infrastructure providers, who may have their own rights to access, store, process, or use data transiting their systems. Boundless's processing of personal data is described in its Privacy Policy at [boundless.network/privacy-policy](https://boundless.network/privacy-policy), incorporated by reference.

### 3.4 Rights in Customer Data and Outputs

As between the parties, Customer retains all right, title, and interest in and to Customer Data, and owns the Outputs it receives, subject to these Terms, the applicable Model Terms, and Boundless's and its licensors' rights in the Models and the Services. Customer grants Boundless a worldwide, royalty-free license to host, process, transmit, display, and otherwise use Customer Data as necessary to provide, secure, and maintain the Services. Customer represents and warrants that it has all rights, licenses, and consents necessary for Boundless to process Customer Data and that its Customer Data and use of the Services comply with applicable law and its own privacy commitments.

## 4. Dashboard; credentials

### 4.1 Dashboard

The Dashboard allows Customer and its Permitted Users to administer the account, generate and manage API keys and credentials, administer Permitted Users, and view usage and balance information. Use of the Dashboard is part of the Services and subject to these Terms.

### 4.2 Credentials

Customer is responsible for all activity under API keys and other credentials generated or managed through the Dashboard and shall create, restrict, rotate, and revoke them appropriately and keep them confidential.

### 4.3 Usage data

Usage, spend, and balance information shown in the Dashboard or any usage API is provided for convenience, may be delayed, is not represented to be real-time, and is not the contractual record of usage for billing. Billed amounts are determined as set forth in Section 5.

## 5. Fees and payment

### 5.1 Fees; credits

Customer shall pay all fees for its use of the Services at Boundless's then-current rates. The Services operate on a prepaid-credit model: Customer purchases credits (including any trial credits granted by Boundless), and the Services remain available only while a positive credit balance is maintained. When Customer's credit balance reaches zero, the Services will hard-reject further requests until additional credits are purchased; there is no grace period and no silent overage. Customer authorizes Boundless (and its payment processors) to issue invoices and charge Customer's designated payment method for credits purchased and applicable taxes as they accrue. Customer is responsible for keeping its payment method current.

### 5.2 Price changes

Boundless may change its prices at any time. Price changes apply prospectively to usage occurring after they take effect.

### 5.3 Taxes

Fees are exclusive of taxes. Customer is responsible for all sales, use, value-added, withholding, and similar taxes, excluding taxes on Boundless's net income.

### 5.4 No refunds; no minimum commitment

Except as required by applicable law, all fees and prepaid credit amounts are non-refundable and non-cancellable, and are not contingent on Customer's actual usage. There is no minimum spend or commitment unless separately agreed in writing.

### 5.5 Late payment

If any payment fails or is overdue, Boundless may charge interest at the lower of 1.5% per month or the maximum permitted by law, and may suspend or terminate the Services under Section 2.4 or Section 6.

## 6. Term; termination

### 6.1 Term

These Terms begin when Customer first accepts them or uses the Services and continue until terminated.

### 6.2 Termination

Customer may terminate at any time by ceasing all use of the Services and closing its account. Boundless may terminate these Terms or Customer's access to the Services (a) for convenience upon notice; or (b) immediately, with or without notice, if Customer breaches these Terms, fails to pay, or for any reason permitting suspension under Section 2.4.

### 6.3 Effect of termination

Upon termination, all licenses and Customer's right to access the Services end, and Customer shall stop using the Services. If Boundless terminates for convenience under Section 6.2(a), Boundless will refund any prepaid, unused credits; otherwise, except as required by law, fees and prepaid credit amounts are non-refundable. Because Boundless does not retain Customer Inputs or Outputs beyond the period necessary to provide the Services, Customer is responsible for retaining any data it wishes to keep before termination.

## 7. Website-Terms provisions

### 7.1 Provisions that apply

The following provisions of the Website Terms apply to the Services as if set out fully here: no warranties; indemnity (Customer indemnifies Boundless and the Released Parties); limitation of liability (including the US$100 aggregate cap); force majeure; dispute resolution and arbitration (including the jury-trial and class-action waivers); governing law (California); assignment; notices; severability; no waiver; and survival.

### 7.2 Indemnity scope

For purposes of the Website Terms' indemnity, “your use of the Functionalities” includes Customer Data, Inputs, Outputs, and Customer's and its Permitted Users' use of the Services, and Customer's violation of the Model Terms.

## 8. Confidentiality; publicity

### 8.1 Confidentiality

Each party may disclose non-public business or technical information that is designated as confidential or that should reasonably be understood as confidential (“Confidential Information”). The receiving party shall use it only to exercise its rights and perform its obligations under these Terms and shall protect it using at least reasonable care. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was known without restriction, is independently developed, or is rightfully received from a third party, and do not prevent disclosure required by law (with notice where permitted).

### 8.2 Publicity

Boundless will not use Customer's name, logo, or trademarks in marketing or publicity materials, or identify Customer as a customer, without Customer's prior written consent (email sufficient).

## 9. General

### 9.1 Entire agreement; order of precedence

These Terms, together with the Website Terms, the Privacy Policy, the Documentation, and any usage policies referenced herein, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous agreements. In case of conflict, these Terms control over the Website Terms, the Documentation, and usage policies, except that the Privacy Policy controls with respect to the processing of personal data.

### 9.2 Changes to these Terms

Boundless may modify these Terms at any time by posting the revised Terms and updating the “Last Updated” date. Revised Terms take effect upon the earlier of (a) any purchase of, or new commitment for, the Services made after the revised Terms are posted, or (b) Customer's continued use of the Services after the revised Terms are posted. If Customer does not agree, Customer must stop using the Services.

### 9.3 Interpretation

Section headings are for convenience only. “Including” means “including without limitation.” These Terms will not be construed against the drafter. The parties are independent contractors; these Terms do not create any partnership, joint venture, agency, or fiduciary relationship.
