# Boundless Platform Services Terms

Boundless Networks, Inc. (last updated September 23, 2026).

By clicking “I agree,” creating an account, generating an API key, or accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services. These Terms include a disclaimer of warranties, a limitation of liability, and an arbitration provision with a class-action waiver (Sections 10, 11, and 12), which affect your legal rights.

## 1. These Terms; definitions

## 2. The Services

### 2.1 Access grant

Subject to these Terms and Customer's payment of applicable fees, Boundless grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for Customer's internal business purposes and in accordance with these Terms and any documentation Boundless makes available (the “Documentation”). Boundless reserves all rights not expressly granted. The Services are intended for business and enterprise use, not personal, family, household, or other consumer purposes.

### 2.2 Accounts; API keys; Permitted Users

Customer is responsible for (a) all activity occurring under its account, API keys, and credentials, whether or not authorized; (b) maintaining the confidentiality and security of its credentials; and (c) its Permitted Users' compliance with these Terms. Customer must provide accurate account information and promptly notify Boundless of any suspected compromise or unauthorized use. Boundless is not liable for any loss arising from unauthorized use of Customer's account or credentials. Boundless may delay, limit, or decline any registration, account activation, or credit grant.

### 2.3 Eligibility; acceptable-use restrictions

Customer represents and warrants that it is entering these Terms in the conduct of its business, that the individual accepting them is at least eighteen (18) years old and has the authority to bind Customer, that Customer is not a Sanctioned Person, and that Customer will not use a VPN or other anonymization technique to circumvent any geographic or access restriction that applies to the Services. Customer shall not, and shall not permit any third party to:

- (a) access or use the Services to build or train a competing product, model, or service, or to copy the Services' features, except to the extent this restriction is prohibited by applicable law; Customer's use of Outputs to train any model remains subject to the applicable Model Terms;
- (b) submit Prohibited Content;
- (c) circumvent or exceed rate limits, quotas, or usage restrictions;
- (d) publicly disclose benchmarking or performance testing of the Services unless the disclosure identifies the methodology used, is accurate, and is reproducible on the then-current version of the Services;
- (e) access or use the Services in or for the benefit of any Sanctioned Person or Restricted Territory;
- (f) submit through the Services any content relating to intoxicants of any sort, illegal drugs or other illegal products, alcoholic beverages, games of chance, or pornography or graphic adult content;
- (g) interfere with, probe, scan, or test the vulnerability of the Services, introduce malicious code, or attempt to gain unauthorized access to the Services or any related system; and/or
- (h) encourage or enable any third party to do any of the foregoing.
### 2.4 Suspension

Boundless may suspend or limit Customer's access to all or part of the Services, immediately and without liability, if Boundless reasonably determines that

- (a) Customer's use poses a security, legal, or operational risk to Boundless, its suppliers, or others, or violates these Terms or applicable law; or
- (b) suspension is required by a supplier, court, or governmental authority.

Boundless may suspend immediately and without prior notice for any breach of Section 2.3 involving unlawful content or Prohibited Content. For overdue payment or any other breach, Boundless will provide notice and a reasonable opportunity to cure before suspending, except where Boundless reasonably determines that immediate suspension is necessary to prevent harm including but not limited to waste of the Services.

### 2.5 Changes to the Services; Beta Features

Boundless may modify or discontinue any Model, API surface, feature, or functionality at any time, and has no obligation to maintain backward compatibility. For generally available (non-Beta) offerings, Boundless will use commercially reasonable efforts to provide advance notice before a material degradation or discontinuance. Features designated “alpha,” “beta,” or “preview” (collectively, “Beta Features”) may be changed or discontinued without notice, are provided strictly “as is,” and are excluded from any support, service levels, warranties, or indemnities; Boundless's total liability arising out of Beta Features will not exceed US$100 in the aggregate.

### 2.6 No service levels

The Services are provided without any service-level, uptime, or availability commitment. Boundless does not warrant that the Services will be uninterrupted or available at all times, including because capacity may be scaled down during periods of low demand, during weekends, or when idle. Support, if any, is provided on an “as available” basis.

### 2.7 Third-party Models and infrastructure

Customer acknowledges that (a) certain Models are developed, owned, or licensed by third parties, including open-weight models, and Customer's use of them is subject to the applicable Model Terms, which Customer shall comply with; and (b) the Services are provided using computing infrastructure owned and operated by third parties, and Boundless's ability to provide the Services is dependent on, and limited by, the availability, terms, and practices of those providers. Boundless is not responsible for, and disclaims all liability arising from, any third-party model, infrastructure, product, or service.

### 2.8 No obligation to monitor

Boundless does not undertake, and these Terms do not impose on Boundless, any obligation to monitor, review, filter, or moderate Inputs, Outputs, or Customer's use of the Services, and Boundless shall have no duty or liability arising from not doing so. Boundless may act on reports, usage metadata, or lawful requests from any Governmental Authority, and may exercise its rights under Section 2.4, without such action creating any ongoing duty to monitor.

## 3. Inference Services; data

### 3.1 Inputs and Outputs

The Inference Services allow Customer to submit Inputs to, and receive Outputs from, the Models through the Token API or other interfaces Boundless authorizes. Outputs are generated by probabilistic Models, may be inaccurate, incomplete, or unsuitable for a particular purpose, and may not be unique to Customer. Customer is responsible for evaluating Outputs and will not rely on Outputs as the sole basis for any decision producing legal, financial, psychological, medical or similarly significant effects on an individual, group, business or organization without appropriate human review.

### 3.2 Data retention

Boundless does not retain, store, or log the content of Customer's Inputs or Outputs except as necessary to provide, secure, improve and/or maintain the Services. Boundless may collect and use de-identified, aggregated usage data and telemetry that does not identify Customer or any individual for any lawful business purpose.

### 3.3 Infrastructure-provider access

Because the Services are provided on third-party infrastructure, Boundless cannot represent or warrant that Customer's Inputs or Outputs are inaccessible to those infrastructure providers, who may have their own rights to access, store, process, or use data transiting their systems. Boundless's processing of personal data is described in its Privacy Policy at [boundless.network/privacy-policy](https://boundless.network/privacy-policy), which policy is incorporated by reference herein in its entirety.

### 3.4 Rights in Customer Data and Outputs

As between the parties, Customer retains all right, title, and interest in and to Customer Data, and owns the Outputs it receives, subject to these Terms, the applicable Model Terms, and Boundless's and its licensors' rights in the Models and the Services. Customer grants Boundless a worldwide, royalty-free license to host, process, transmit, display, and otherwise use Customer Data as necessary to provide, secure, improve and/or maintain the Services. Customer represents and warrants that it has all rights, licenses, and consents necessary for Boundless to process Customer Data and that its Customer Data and use of the Services comply with applicable law and its own privacy commitments.

## 4. Dashboard; credentials

### 4.1 Dashboard

The Dashboard allows Customer and its Permitted Users to administer the account, generate and manage API keys and credentials, administer Permitted Users, and view usage and balance information. Use of the Dashboard is part of the Services and subject to these Terms.

### 4.2 Credentials

Customer is responsible for all activity under API keys and other credentials generated or managed through the Dashboard and shall create, restrict, rotate, and revoke them appropriately and keep them confidential.

### 4.3 Usage data

Usage, spend, and balance information shown in the Dashboard or any usage API is provided for convenience, may be delayed, is not represented to be real-time, and is not the contractual record of usage for billing. Billed amounts are determined as set forth in Section 5.

## 5. Fees and payment

### 5.1 Fees; credits

Customer shall pay all fees for its use of the Services at Boundless's then-current rates. The Services operate on a prepaid-credit model: Customer purchases credits (including any trial credits granted by Boundless), and the Services remain available only while a positive credit balance is maintained. When Customer's credit balance reaches zero, the Services will hard-reject further requests until additional credits are purchased; there is no grace period and no silent overage. Customer authorizes Boundless (and its payment processors) to issue invoices and charge Customer's designated payment method for credits purchased and applicable taxes as they accrue. Customer is responsible for keeping its payment method current.

### 5.2 Price changes

Boundless may change its prices at any time. Price changes apply prospectively to usage occurring after they take effect.

### 5.3 Taxes

Fees are exclusive of taxes. Customer is responsible for all sales, use, value-added, withholding, and similar taxes, excluding taxes on Boundless's net income.

### 5.4 No refunds; no minimum commitment

Except as required by applicable law, all fees and prepaid credit amounts are non-refundable and non-cancellable, and are not contingent on Customer's actual usage. There is no minimum spend or commitment unless separately agreed in writing.

### 5.5 Late payment

If any payment fails or is overdue, Boundless may charge interest at the lower of 1.5% per month or the maximum permitted by law, and may suspend or terminate the Services under Section 2.4 or Section 6.

## 6. Term; termination

### 6.1 Term

These Terms begin when Customer first accepts them or uses the Services and continue until terminated.

### 6.2 Termination

Customer may terminate at any time by ceasing all use of the Services and closing its account. Boundless may terminate these Terms or Customer's access to the Services (a) for convenience upon notice; or (b) immediately, with or without notice, if Customer breaches these Terms, fails to pay, or for any reason permitting suspension under Section 2.4.

### 6.3 Effect of termination

Upon termination, all licenses and Customer's right to access the Services end, and Customer shall stop using the Services. If Boundless terminates for convenience under Section 6.2(a), Boundless will refund any prepaid, unused credits; otherwise, except as required by law, fees and prepaid credit amounts are non-refundable. Because Boundless does not retain Customer Inputs or Outputs beyond the period necessary to provide the Services, Customer is responsible for retaining any data it wishes to keep before termination.

## 7. Intellectual property; open source

### 7.1 Boundless IP

The Services, the Documentation, and all software, interfaces, designs, and other materials Boundless makes available (excluding Customer Data, Outputs, and open-source software) are the property of Boundless or its licensors, and all intellectual property rights in them are the exclusive property of Boundless or its licensors. They may be used only in connection with the use of the Services and may not otherwise be copied, reproduced, distributed, transmitted, sold, licensed, or used for any other purpose without Boundless's prior written consent.

### 7.2 Open-source software; Model Terms

Portions of the software available through or relating to the Services, including certain Models, SDKs, and serving components, are open-source software licensed under their respective open-source licenses, and certain Models are made available under their own Model Terms. Nothing in these Terms limits Customer's rights, or imposes obligations on Customer, under any applicable open-source license, and in the event of any conflict between these Terms and an applicable open-source license or Model Terms as to the licensed software or Model, that license or those Model Terms govern as to it.

### 7.3 Copyright complaints

Boundless respects intellectual property rights. If you believe content transmitted through the Services infringes your copyright, you may send a notification to Boundless's designated agent at DMCA Agent, Boundless Networks, Inc., 228 Park Avenue South, PMB 659510, New York, NY 10003; email: [Legal@Boundless.Network](mailto:legal@boundless.network), including the information required by 17 U.S.C. §512(c)(3). Boundless may remove or disable access to allegedly infringing material and may suspend or terminate the accounts of repeat infringers.

## 8. Confidentiality; publicity

### 8.1 Confidentiality

Each party may disclose non-public business or technical information that is designated as confidential or that should reasonably be understood as confidential (“Confidential Information”). The receiving party shall use it only to exercise its rights and perform its obligations under these Terms and shall protect it using at least reasonable care. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was known without restriction, is independently developed, or is rightfully received from a third party, and do not prevent disclosure required by law (with notice where permitted).

### 8.2 Publicity

Customer grants Boundless a non-exclusive, royalty-free right to use Customer's name and logo to identify Customer as a customer of the Services, including in Boundless's marketing materials, customer lists, and on its websites, in accordance with any brand or trademark usage guidelines Customer provides to Boundless in writing.

## 9. Release; force majeure

### 9.1 Release of claims

Customer assumes all risks in connection with its use of the Services and, to the fullest extent permitted by law, waives and releases Boundless, its agents, affiliates, and providers, and each of their respective past, present, and future officers, directors, members, employees, consultants, representatives, and agents, and each of their respective successors and assigns (together with Boundless, the “Released Parties”), from any and all liability, claims, causes of action, or damages arising from or in any way relating to Customer's use of the Services, except to the extent solely arising from Boundless's material breach of these Terms.

### 9.2 Force majeure

Boundless shall not incur any liability or penalty for not performing any act or fulfilling any obligation hereunder by reason of any occurrence that is not within its control (including any provision of any present or future law or regulation or any act of any Governmental Authority, any act of God or war or terrorism, the unavailability, disruption, or malfunction of the Internet or any other electronic network, any failure, degradation, or termination of third-party infrastructure or Models on which the Services depend, or any hack, denial-of-service, or other attack on the Services or any aspect thereof). Boundless shall use commercially reasonable efforts, consistent with accepted practices in the industries in which it operates, to resume performance as soon as reasonably practicable under the circumstances.

## 10. No warranties

Boundless represents and warrants that it shall use commercially reasonable efforts to support the Services without introducing errors or otherwise corrupting any data submitted by Customer. Customer acknowledges and agrees that except as set forth in these Terms, the Services are provided on an “as is” basis with faults and without warranty of any kind.

Boundless makes no representation or warranty that the Services or Outputs will comply with any obligations that Customer may have under any applicable laws, rules, regulations, or similar obligations, and Boundless shall not have any liability for any damages, liabilities, losses, costs, or expenses (including attorneys' fees), whether direct, indirect, special, incidental, consequential, punitive, or otherwise of any kind, arising out of, in connection with, or relating to Customer's compliance with any such obligations. Without limiting the foregoing, Boundless does not represent or warrant that (i) the Services will be error-free, uninterrupted, or available at all times; or (ii) the Services will remain compatible with, or operate without interruption on, any equipment or software of Customer.

Customer acknowledges and agrees that technical problems may prevent access to all or any part of the Services, and except as set forth in the first sentence of this Section, Boundless makes no warranties, whether express, implied, or statutory, regarding or relating to the Services, the Models, or Outputs, and hereby specifically disclaims, to the fullest extent permitted by law, all implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and all other warranties, conditions, other contractual terms, representations, indemnities, and guarantees, whether express, implied, or statutory, arising by law, custom, prior oral or written statements by Boundless or any of its agents or affiliates, or otherwise (including as to title, accuracy, completeness, uninterrupted use, noninfringement, timeliness, truthfulness, sequence, and any implied warranties arising from usage of trade, course of dealing, or course of performance).

## 11. Indemnity; limitation of liability

### 11.1 Indemnity

Customer will indemnify and hold harmless the Released Parties from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) Customer Data, Inputs, and Outputs; (ii) Customer's and its Permitted Users' access to and use of the Services; (iii) Customer's violation or alleged violation of these Terms; and (iv) Customer's violation of the Model Terms.

### 11.2 Limitation of liability

Customer acknowledges and agrees that Boundless shall, to the fullest extent permitted by law, not have any liability for any damages, losses, costs, or expenses (including attorneys' fees), whether direct, indirect, special, incidental, consequential, punitive, or otherwise of any kind (including, without limitation, any loss of revenue, loss of actual or anticipated profits, loss of contracts, loss of the use of money, loss of anticipated savings, loss of business, loss of opportunity, loss of goodwill, loss of reputation, or loss of, damage to, or corruption of data), in each case arising under or related to claims of breach of contract, tort (including negligence), strict liability, restitution, breach of statutory duty, or any other cause of action whatsoever with respect to these Terms, the Services, or any other matter contemplated hereby.

Notwithstanding the foregoing, to the extent applicable law does not permit the full exclusion or disclaimer of liability set forth in these Terms, Boundless's total aggregate liability arising out of or relating to these Terms or the Services will not exceed one hundred United States dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to Customer; in that case they apply to the fullest extent permitted by applicable law.

## 12. Dispute resolution; governing law

### 12.1 Informal resolution; arbitration

In the event that a dispute is not settled amicably, then either party may, by notice in writing to the other party, request a mediation to be administered by a neutral party acceptable to both parties. If the parties are unable to agree on the identity of a mediator within 14 days from the delivery of such notice, then any dispute not resolved in accordance with this Section shall be referred to and finally resolved by arbitration. The arbitration shall be administered by JAMS in accordance with its then-current Streamlined Arbitration Rules & Procedures. Judgment upon the award rendered may be entered in any court having jurisdiction thereof. The seat of the arbitration shall be San Francisco, California or, at the election of either party, virtual. The Tribunal shall consist of one (1) arbitrator appointed in accordance with the rules. The language of the arbitration shall be English. The costs of the arbitration, including the parties' attorneys' fees and expenses, shall be paid at the discretion of and pursuant to the decision of the arbitrator. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., which governs its interpretation and enforcement.

### 12.2 Waiver of jury trial

CUSTOMER AND BOUNDLESS HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. The parties are instead electing that all disputes, claims, or requests for relief shall be resolved by arbitration under this Section. An arbitrator can award on an individual basis the same damages and relief as a court and must follow these Terms as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.

### 12.3 Waiver of class or other non-individualized relief

ALL DISPUTES, CLAIMS, AND REQUESTS FOR RELIEF WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS OR COLLECTIVE BASIS, ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND CLAIMS OF MORE THAN ONE CUSTOMER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER. If a decision is issued stating that applicable law precludes enforcement of any of this Section's limitations as to a given dispute, claim, or request for relief, then such aspect must be severed from the arbitration and brought into the courts located in San Francisco, California. All other disputes, claims, or requests for relief shall be arbitrated.

### 12.4 Governing law

These Terms and any action related thereto will be governed by the laws of California.

## 13. General

### 13.1 Entire agreement; order of precedence

These Terms, together with the Privacy Policy, the Documentation, and any usage policies referenced herein, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous agreements, including, for Customers who accepted them, the incorporation of the Boundless Networks Website Terms into prior versions of these Terms. In case of conflict, these Terms control over the Documentation and usage policies, except that the Privacy Policy controls with respect to the processing of personal data.

### 13.2 Changes to these Terms

Boundless may modify these Terms at any time by posting the revised Terms and updating the “Last Updated” date. Revised Terms take effect upon the earlier of (a) any purchase of, or new commitment for, the Services made after the revised Terms are posted, or (b) Customer's continued use of the Services after the revised Terms are posted. If Customer does not agree, Customer must stop using the Services.

### 13.3 Notices

Boundless may provide notices to Customer by email to the address associated with Customer's account, through the Dashboard, or by posting to the Services' documentation or status pages; notices are effective when sent or posted. Customer may provide notices to Boundless at [legal@boundless.network](mailto:legal@boundless.network).

### 13.4 Assignment

Boundless may freely assign, transfer, or delegate its rights, obligations, and liabilities under these Terms to the maximum extent permitted by applicable law. Customer may not assign or delegate its rights or obligations hereunder without the prior written consent of Boundless.

### 13.5 Severability

Should any part or provision of these Terms be held invalid by any arbitration tribunal, competent court, or governmental or administrative authority having jurisdiction, the other provisions of these Terms shall nonetheless remain valid. In this case, the parties shall endeavor to negotiate a substitute provision that best reflects their economic intentions. The same shall apply if and to the extent that these Terms are found to contain any gaps or omissions.

### 13.6 No waiver

No failure or delay by either party in exercising any power, right, privilege, or remedy under these Terms shall operate as a waiver of it, and no single or partial exercise shall preclude any other or further exercise thereof or of any other power, right, privilege, or remedy. A waiver is effective only if expressly set forth in a written instrument duly executed and delivered on behalf of the waiving party, and only in the specific instance in which it is given.

### 13.7 Survival

Sections 1, 3.4, 5, 6.3, 7, 8, 9, 10, 11, 12, and 13, and any other provision that by its nature should survive, survive termination of these Terms.

### 13.8 Interpretation

Section headings are for convenience only. “Including” means “including without limitation.” These Terms will not be construed against the drafter. The parties are independent contractors; these Terms do not create any partnership, joint venture, agency, or fiduciary relationship.
